The climate for prosecution of corporations and the people who lead those corporations is markedly different from even just a few years ago. In 2015, the U.S. Department of Justice released a memorandum stating that “one of the most effective ways to combat corporate misconduct is by seeking accountability from the individuals who perpetrated the wrongdoing . . .” Further, the memorandum requires government lawyers to vigorously review information provided by corporations to the government and compare that information with the results of the government’s investigation, in order to ensure that the corporation is not protecting individuals who may have engaged in any wrongdoing.
What this means is that we can expect more aggressive government prosecution not only of corporations, but of the individuals within those corporations. New and evolving laws such as the False Claims Act, the Foreign Corrupt Practices Act, and Dodd-Frank whistleblower reforms, along with expansive health care fraud laws, pose an increased risk of investigations and prosecutions of businesses and individuals.
